Welcome to Android Central! Which device is it? Are they the exact same model number, from the same wireless provider? System updates go out in a rolling fashion, so not everyone gets them at the same time.

If the two devices are on different wireless carriers, then it's because the carriers have different schedules for system updates. Some carriers may release an update, while others may take longer, or not even release one.
