The last part - if you're rooted & running stock - doesn't work. Prompts went away after deleting the otacerts.zip & rebooting. Later in the day when I rebooted again, prompts returned.

Thanks for your post. My phone is rooted but stock otherwise, so I downloaded Super Manager (free) instead of Root Explorer and deleted the otacerts.zip file. Initially the prompts kept coming, so I rebooted and no more update prompts. :) Thanks again! Update prompts returned later in the day...
