The 3 features that rock this phone for me is the huge battery, the twist on camera, and the always listening feature and active notification.

I know that there are some apps that kind of mimmick 'always listening', but from what I've read they only work if the phone screen is on. Are there any other phones out, or upcomming, that have the true always listening feature that the Maxx has. There's a lot of great phones out there but nothing that seems to match the overall greatness and simplicity of this phone.

The Moto X, which is very similar to the Droid Ultra series, has the always listening feature as well. My guess is that the upcoming X+1 will also have it. I have not heard of any other manufacturer that is incorporating this, probably because the always listening feature takes advantage of Moto's X8 architecture, which dedicates one low-power core to that function, thus mitigating the battery drain that would otherwise happen with other SoC's.

The newest generation of CPUs (is it the snapdragon 805?) will support always listening with low power. Once those phones start hiring the street it won't be a Motorola exclusive.
I believe that the next generation of iPhone is supposed to get it too.

For the time being is only on Droid and Moto X.

Pretty sure the entire Snapdragon 80x series supports always listening, but none of the manufacturers have actually incorporated it for some reason.

Correct me if I'm wrong... Doesn't the Google Now Launcher 'Always listen' for you to say "Okay Google"?
It can be dude loaded to any 4.2+ device, can't it?

Yes, but you have to turn the phone on and swipe over to the Google Now screen in order for it to listen. With the Moto X and Droid Ultra series, you don't have to do anything--just speak to the phone, since it's always listening, even when the screen is asleep.

My Daughter's G2 listens from the home screen... I'm not sure about other apps though

That's still not the same thing - I can give my phone commands while it's in my shirt pocket without touching it at all. It comes in handy. Having to press a button to turn the phone on can be a drag.
