If I reset my phone using the factory reset options will I have to really download ICS

Not sure what you mean. Just so you know, a factory reset only wipes your data and cache partitions. It doesn't do any other magic.

No. Doing a factory reset wipes your data from the phone. If you are running ICS, it will not revert back to Gingerbread.

That's what both of us were answering. Factory reset will wipe /data and /cache and that's all. Nothing overly special, it won't change your O/S
