Have you enabled under settings, allow installation from unknown sources?

Settings/Security--> Allow installation from unknown sources.

FYI, if you are trying to move an ".apk" into /system/app/ location you will need root access to write to this location.

Yes, I enabled the unknown source and installed it. I tried installing this .apk from sdcard/download/ and did not work. :( Please Help! :o
