I have sony xperia U. When I'm trying to upgrade my android version, sony pc companiion is proposing to upgraid it to only 2.3.7 version. How come?

That's likely the latest update that Sony has issued for your phone model. Until they make a change, there's nothing you can do unless you want to try rooting the device and installing a newer ROM, but this is probably not going to work because some devices just don't have what it takes to run the new versions.
