Is there any way to bypass that stupid exchange security pass code that comes up every time i "wake up" my hero? It never happened in 1.5, but in 2.1 all of the sudden it requires a pass work upon wake up.... Any help would be appreciated...

That was one of the things they added for better exchange support (a requirement for mobile devices is a passcode + remote wipe). Unfortunately, I don't use exchange, so I don't know the bypass (if there even is one).
 
Yes there is a way to disable it. This works on my Sprint Hero (rooted) running fresh 2.1.1 ROM and you have to have the Android SDK installed.

Open a cmd prompt and type the following Exactly like it shows (minus the numbering). I take no credit for this. It was posted on XDA developers.

1. Adb shell
2. cd /data/data/com.android.providers.settings/databases
3. sqlite3 settings.db
4. update system set value=0 where name='lockscreen.lockexchange.enable';
5. .exit
