Welcome to Android Central! Can you give more details? Does this happen when you're actively using the tablet? If so, what apps are you using? Does the battery run down quickly, and if so, does the battery also get really warm when charging?

By overheat, do you mean you get an actual temperature warning, or does it just feel warm?
