I think HTC was one that if the device had been rooted or the Bootloader unlocked would display "Tampered" above the text ***LOCKED*** so you seem to have a legit version of the device. Since you are out of warranty, you might look into rooting the device yourself and updating to the version you want. Know that the M9 has a root key out there along with several ROMs. Given its age you may have to dig a little to find them but I would recommend checking this all out at the DXA Developers site. You might also post this question in the M9 forums there as someone may be able to help you without root. Definitely an easier and less risky solution.

That's the problem with buying phones 2nd hand , this tells me someone messed with the phone , S-Off means it's been tampered with they turned security off and why your getting the warning.

Good catch. I just remembered a banner on one of my HTC models that said tampered at the top after rooting it. I never looked much farther but you're right that should say S-On. Well it should be supper easy to root then, so on that note getting the ROM you want just got a bit easier.

If they were to root , I would recommend knowing how to get back to stock and if any support is out there for this device .
