Not responsible for bricks or spontaneous combustion. This is what worked for me. OK, continue now! : ]

1. Install these Motorola drivers

https://motorola-global-portal.custhelp.com/app/answers/detail/a_id/88481

2. Download ICS_root.zip and extract to your desktop.

3. Enable USB Debugging on your phone.

4. Connect your phone to your PC.

5. Click on Root.bat

6.Your phone will reboot several times so don't remove the USB cable during this process.

7. You should be rooted!

HAVE A GOOD REST OF YOUR DAY!

I Already made a lot of methods on my Atrix 2 MB865 With AT&T and when i run root.bat still have the same message:
Daemon not Running Starting It Now
Daemon Started Successfully
rm Failed for /data/local.prop, Permission Denied
/system/bin/sh: cannot create /data/local.prop: Permission denied
Im using 4.0.4 Firmware from AT&T with a lot of problems.i just want to make a clean installation.

That may also be the problem since you said you tried many methods. I heard also that a factory reset would work, but I wouldn't know since I rooted my Atrix 2 the first time around. Try clicking adb.exe before you do root.bat and try again. Also, try mounting your phone as a Camera or media device.
