Acquisition of Mobile Nations

The Board of Future plc (LSE: FUTR, 'Future', 'the Group'), the global platform for specialist media, today announces the acquisition of MoNa Mobile Nations, LLC ('Mobile Nations'), a leading global digital publisher focused on consumer electronics and based in the US (the 'Acquisition').

Mobile Nations is a global independent digital publisher focused on consumer electronics, combining content, community and commerce to deliver shopping enablement solutions, with its key brands including Android Central, iMore, Windows Central and Thrifter. Mobile Nations' brands educate and inspire a monthly audience of over 40 million technology enthusiasts and support consumers in making better-informed buying decisions for personal electronics.

The initial cash consideration is $55 million with a further $5 million to be satisfied through the issue to the vendors of 615,166 new ordinary shares (the 'Consideration Shares'). In addition, a further variable deferred consideration up to a total value of $60 million will be paid, subject to meeting financial targets based on the year ending 31 March 2020. The deferred consideration is expected to be split equally between cash and the issuance of new shares in Future, although Future retains the right to pay the full balance in cash.

Future PLC (LON:FUTR) shares surged in lunchtime trading Friday after it acquired US-based publisher Mobile Nations.

The media group it would pay US$55mln in cash and US$5mln in shares for Mobile Nations, a digital publisher focused on consumer electronics, adding that there was also a deferred payment of up US$60mln that would be paid subject to meeting certain financial targets in the year ending 31 March 2020.

Together, the total consideration for Mobile Nations amounted to US$120mln.

Future added that the transaction was expected to be earnings enhancing in the current fiscal year and “materially” enhancing in the first full year after completion.

Mobile Nations, whose publications include Android Central, iMore, Windows Central, and Thrifter, has a monthly audience of around 40mln.

Zillah Byng-Thorne, chief executive of Future, said that the acquisition would “further strengthen” the company’s position in the technology, as well as extending its presence in the US market.

“We already have an established commercial relationship with Mobile Nations through its longstanding partnership with Purch, which we acquired in September 2018. The addition of Mobile Nations' brands will deepen our presence and expand our opportunities to monetise our significant US online audience,” the CEO added.

Shares were up 10.5% at 758p.

To cut to the chase, @Golfdriver97, you're right... this isn't bad news, it's GREAT news! This is just the beginning of a new journey for all of us including our members, and amazing volunteers like you!

Everyone on our team that you've worked with including @Michelle Haag, @Bla1ze and myself aren't going anywhere. We're now part of a larger family of communities and we're super excited about it. TL/DR, you should be too.

In the months ahead we're going to need your help, feedback and expertise as we GROW our volunteer group and take on new challenges. I hope you'll stick with us for the ride (I know you will), because it's going to be a lot of fun!

Any questions, concerns, ANYTHING - hit me up direct or in this thread. I've been working on an update for the volunteers but it looks like you beat me to the punch :)

I'm venturing a weak guess that if it was purposely omitted, a buyer would be interested in only 'sure things'. And Blackberry's future has been pretty shaky. I would have thought that WC would have been off the list, but I guess that site has migrated away from phones to everything Windows. Blackberry is hurting (look at how they now have Android OS) and hopefully will survive and not be lost like Windows Mobile and the greatest OS of all time (IMHO) webOS.

Like I said.. I know as much as you all and this is just a wild guess. :)

You see how wild my guesses are?? In fact, I'm guessing they are bringing not only webOS Nation back, but investing in the OS and taking over the world!
