I got it. My error was that after taking the battery out and reinserting it, I turned the phone on and then pressed the buttons. The procedure is after inserting the battery, press the keys w/o out turning on the phone. Duh, I feel stupid, but hey the upgrade went flawlessly and fast and it is working just fine. Used Win 7 32 bit.

I can't get by the first step, holding down the three keys simultaneously. I've tried numerous times, and two other people and no luck. How long do you have to hold all keys down before you see the downloading screen?

I had the same issue. Turns out you can't put the phone in Download Mode (3 key-at-once) with the USB cable attached. After that, it takes 4-5 seconds for the DL screen to pop up.
