It will replace whatever ROM you're currently using. The first step in flashing a new ROM is to do a nandroid backup... Then do a complete factory and system reset. That's the best way to avoid problems. I do a nandroid backup every week, just so I have my current setup saved... you never know when a problem might occur or what might cause it.

The ROM will have its own kernel. After you flash it and everything is working correctly, try flashing the custom kernel. Some kernels work well with certain ROMs and others don't. If there's a major problem with a specific kernel, most ROM devs will say which kernels don't work well. Just check FAQs or comments from the dev and also other users.
