OTA is Over The Air - it's what updates the phone. If you're getting a notice that it should be updated, it's probably malware. It gets "updated" with every new version of Android, if Motorola or Google update it. (When your phone stops getting updates, you no longer need the OTA app, so it doesn't have to be "updated".)
