I believe you are partially wrong here.

Motorola earlier this year split itself legally into two companies, Motorola Mobility, one that makes cellphones and cable boxes and Motorola Solutions, which does public-safety radios and handheld scanners. In fact, Sanjay Jha, was brought into Motorola in order to facilitate that split. I believe he got like a multimillion dollar bonus (it was huge) if he finalized the split within a year or so (which he did do).

Here is an article announcing the split.
Motorola split official tomorrow, we hope you like red -- Engadget

Sanjay Jha then took over as head of Motorola Mobility, the cellphone company, a completely separate company from Motorola Solutions. Google then acquired Motorola Mobility. The Google deal is not finalized however, because it has to go though regulatory review to make sure this isn't a monopoly.

The sale is not final... It's pending review from what I understand. Chances are that Google will be allowed to acquire Motorola mobility, subject to conditions.
